These Terms & Conditions (“Terms”) govern your purchase, download, access, and use of digital travel itineraries, travel plans, guides, templates, checklists, and/or training materials (collectively, the “Content”) sold or provided by Icy Finch LLC (“Icy Finch,” “Company,” “we,” “us,” or “our”) through icyfinch.com and any related platforms (including third-party tools used to deliver Content).

By purchasing, accessing, or using any Content, you agree to these Terms. If you do not agree, do not purchase or use the Content.

1) Digital Products; License (Licensed, Not Sold)

All Content is licensed, not sold. Subject to these Terms, Icy Finch grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content for your personal, non-commercial use only.

You may not, and you agree you will not:

• Copy, reproduce, distribute, publish, display, transmit, or share the Content (in whole or in part)

• Resell, sublicense, rent, lease, or otherwise commercially exploit the Content

• Post the Content in any group, forum, file-sharing platform, marketplace, or repository (public or private)

• Modify, adapt, translate, create derivative works from, or otherwise alter the Content (except for personal notes)

• Use the Content to provide services to others or to create competing products

Any unauthorized use terminates your license immediately.

2) Intellectual Property Rights

All Content and all related intellectual property rights—including text, structure, itinerary formats, organization, branding, designs, graphics, and materials—are owned by Icy Finch LLC and are protected by U.S. and international intellectual property laws.

No rights are granted to you except as expressly stated in these Terms.

3) Travel Planning Nature of Content

The Content is provided for informational and travel-planning purposes only. Travel conditions (pricing, availability, schedules, entry requirements, advisories, and supplier policies) can change without notice.

You are responsible for verifying all trip details, including:

• Passport and visa requirements

• Health and vaccination requirements

• Travel advisories and entry regulations

• Booking terms, cancellation rules, and supplier policies

• Safety considerations and local laws

4) Third-Party Providers; No Responsibility for Their Services

The Content may recommend or reference third parties such as hotels, airlines, tour operators, restaurants, transportation providers, guides, and activity vendors (“Third-Party Providers”).

These recommendations are provided as a convenience and do not constitute a guarantee, warranty, or endorsement of quality, safety, or performance.

Icy Finch does not own, operate, manage, or control any Third-Party Provider and is not responsible or liable for any acts, errors, omissions, negligence, service failures, interruptions, cancellations, delays, disputes, injuries, losses, or damages arising from the services provided by Third-Party Providers.

Any transaction or experience with a Third-Party Provider is solely between you and that provider.

5) Not a Travel Agency; No Booking Services

Unless explicitly stated in a separate written agreement, Icy Finch does not act as a travel agency and does not book travel on your behalf. You remain responsible for making and managing reservations directly or through your chosen booking channels.

6) No Guarantees

Icy Finch does not guarantee outcomes, satisfaction, availability, pricing, or the performance of any supplier or destination-related experience.

7) Refund Policy (Digital Goods)

Due to the digital nature of the Content and immediate access/delivery, all sales are final and no refunds will be issued except where required by law.

If you have trouble accessing a file you purchased, contact us and we will make reasonable efforts to assist.

8) Limitation of Liability

To the fullest extent permitted by law, Icy Finch LLC will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your purchase or use of the Content, travel decisions, or Third-Party Provider services.

In any event, Icy Finch’s total liability for any claim will not exceed the amount you paid to Icy Finch for the Content giving rise to the claim.

9) Indemnification

You agree to defend, indemnify, and hold harmless Icy Finch LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Content, violation of these Terms, or interactions with Third-Party Providers.

10) Governing Law; Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws rules. You agree that any dispute will be brought in the appropriate state or federal courts located in Texas, and you consent to jurisdiction and venue there.

11) Changes to These Terms

We may update these Terms at any time. The “Last Updated” date reflects the most recent revision. Your continued use of the Content after changes constitutes acceptance of the updated Terms.
